Terms of Service

These Terms of Service ("Terms") are a binding agreement between you, on behalf of the business you represent ("Customer," "you"), and Guy Hazak, an individual doing business as CreditPerk ("CreditPerk," "we," "us"). CreditPerk is a company under formation in Israel; upon its incorporation and registration, this agreement - and all rights and obligations under it - will automatically transfer to that entity, and references to "CreditPerk" will then mean that entity, without requiring any further action or consent from you.

By creating an account, uploading your statement files, or otherwise using the CreditPerk audit tool, browser extension, or dashboard (together, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

You represent that you are at least 18 years old, are authorized to act on behalf of the business entity you are registering, and that the business is based in the United States.

1. What the Service Is - and Is Not

CreditPerk analyzes your business's existing transaction and spending data (from card statement files you upload yourself - we do not connect to your bank and do not use any third-party data aggregator) and produces recommendations about which credit card(s) may increase your reward yield, along with an estimate of the additional value ("ROI") those cards could generate.

• CreditPerk is a recommendation and analytics tool, not a bank, lender, credit counselor, financial advisor, broker, or credit repair organization, and nothing in the Service is financial, investment, tax, or legal advice.
• CreditPerk does not open accounts, extend credit, or make lending decisions on your behalf. If you choose to apply for a card we recommend, you apply directly with the card issuer, on the issuer's own terms, and CreditPerk is not a party to that application or any resulting cardholder agreement.
• Acting on our recommendations requires you to open one or more new card accounts and move some of your spend onto them - the Service does not integrate with or change your existing bank or accounting systems on your behalf.
• We do not guarantee credit approval, any specific reward amount, or that historical spending patterns will predict future results.

2. Providing Your Data

To use the Service you upload card statement files (CSV or Excel) that you download yourself from your card issuer. The Service does not connect to your bank, card issuer, or accounting platform, and does not use any third-party data aggregation service. You represent that you have the right to share this data with us and that doing so does not violate any agreement you have with your bank, card issuer, or accounting platform. Data from files you upload is saved to your account and is not automatically deleted when you stop using the Service (see our Privacy Policy for deletion requests).

3. Cost and Future Compensation

The audit and recommendations are currently free to you. CreditPerk does not currently earn a commission from card issuers, because our affiliate referral program is not yet active. If we activate one, we will update these Terms and our Affiliate Disclosure before doing so, and receiving such compensation will not change the price you pay for the Service.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at the contact address below if you suspect unauthorized access.

5. Intellectual Property

CreditPerk retains all rights, title, and interest in the Service, including the underlying analytics engine, card catalog, and software. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business's internal purposes during the term of these Terms. You retain ownership of your own business data; you grant us a license to process it solely to provide and improve the Service.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT RECOMMENDATIONS WILL BE ACCURATE, THAT THE SERVICE WILL BE UNINTERRUPTED, OR THAT ANY REWARD, CASHBACK, OR APPROVAL OUTCOME WILL BE ACHIEVED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREDITPERK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR REWARDS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED $100.

8. Indemnification

You agree to indemnify and hold CreditPerk harmless from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third party's rights.

9. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access at any time, with or without cause, including for violation of these Terms. You may stop using the Service and disconnect your data at any time. Sections that by their nature should survive termination (including Sections 6-8 and 10-11) will survive.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

11. Dispute Resolution - Binding Arbitration and Class Action Waiver

You and CreditPerk agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration under the Federal Arbitration Act, administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court.

• Class Action Waiver: Disputes must be brought in your individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding.
• Opt-out: You may opt out of this arbitration agreement by emailing admin@creditperk.io within 30 days of first accepting these Terms, stating your intent to opt out.
• Arbitration will be conducted by videoconference or at a mutually agreed location; each party bears its own costs except as the arbitration rules or applicable law require otherwise.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last Updated" date and, for material changes, provide notice (e.g., by email or in-app notice). Continued use after changes take effect constitutes acceptance.

13. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and CreditPerk regarding the Service. You may not assign these Terms without our consent; we may assign them, including to a CreditPerk entity as described above or in connection with a merger, acquisition, or sale of assets.
